TERMS OF SALE
These Terms of Sale (“Terms”) are applicable between the customer (‘you”) and Friendly Flowers and Gifts of Milton (“us,” “we,” “our,” “Friendly Flowers”) regardless of if they are referenced in a specific Order form. By making any purchase from us, you agree to be bound by these terms and conditions. PLEASE READ THE FOLLOWING TERMS AND CONDITIONS PRIOR TO MAKING ANY PURCHASE. ANY PURCHASE MADE SHALL BE GOVERNED BY THESE TERMS AND YOUR PURCHASE INDICATES THAT YOU AGREE TO BE BOUND BY AND ACCEPT ALL THE TERMS AND CONDITIONS CONTAINED HEREIN. THIS SALE AGREEMENT IS A LEGALLY BINDING AGREEMENT BETWEEN US AND YOU. IF YOU DO NOT UNDERSTAND ANY OF THE PROVISIONS CONTAINED HEREIN, PLEASE CONTACT US. Definitions “Force Majeure” shall mean any cause or causes not reasonably within the control of a party including but not limited to acts of God; strikes, lockouts or other industrial disturbances; acts of the public enemy, acts of terror, sabotage, wars, blockades, military action, insurrections or riots; pandemics or epidemics; landslides, subsidence, lightning, earthquakes, fires, storms or storm warnings; crevasses, floods or washouts; civil disturbances; explosions, inability of any party hereto to obtain, after the exercise of reasonable diligence, necessary materials or supplies; or any action or restraint by any governmental authority. “Order” shall mean the Order form provided by Friendly Flowers describing the flowers to be provided, the arrangement, cost, and other relevant details and signed by you. “Product” shall mean the floral collection and arrangement as described in an Order. This shall include any substituted flowers. I. Flower Freshness and Availability. The flowers you receive are cut within twenty-four (24) hours of shipment. High quality control procedures are followed to ensure flowers are delivered under optimal conditions. In a limited number of cases, certain flowers may not be available for harvest depending on factors such as, but not limited to, seasonality, weather, or market availability. In instances of inclement weather or similar cases, flower quality may be affected and unable to be harvested, or may arrive to us damaged. The decision to harvest is made by the grower and is necessary to ensure only premium quality flowers are made available to you. If particular flowers are unavailable, we will contact other farms for fulfillment to reasonably attempt to fulfil the request. In the event we are unable to do so, we reserve the right to modify the Order as described herein. In a limited number of cases, flowers may not be available industry-wide due to lack of market availability or last-minute issue with the flowers when your Order is being harvested and/or packed by our suppliers. When the Product is not reasonably available, we will contact you to discuss available options and offer you a substitution for the flowers that became unavailable. In case that a substitution is needed, we will contact you to discuss viable substitutions for a Product of comparable value. It is expressly understood that Products have specific designs based off the price point of an Order and does not guarantee a specific amount of any type of flower. II. Delivery Days and Times. Unless specified in an applicable Order, time is not of the essence for any delivery. We will make all reasonable efforts to ship your arrangements on time and are not responsible for delays attributable to the carrier. Unless otherwise indicated in an applicable Order, your flowers will be delivered via FedEx or UPS. Other carriers may be used from time to time to accommodate your scheduled delivery date. Flowers may become delayed due to other non-controllable factors. These include, but are not limited to: (a) carrier delays resulting from mechanical, weather, airport closure, logistical or other related external or internal forces; (b) incorrect shipping address entered at the time of Order placement, or re-routing request made by the customer; (c) lack of recipient presence at the delivery address at the time of delivery; (d) customer change Order requests; and (e) other uncontrollable factors due to Force Majeure events. To prevent stress and depending on the flower, we strongly recommend scheduling your Order to arrive at least 3-4 days prior to your event. Scheduling at least 3-4 days provides for flower preparation time and the added benefit of preparing against unanticipated delays. In a limited number of cases carries may lose boxes. In the event that a carrier loses a box, we will try to find an overnight replacement for the lost arrangement. Please note that due to these uncontrollable factors, we cannot guarantee delivery of flowers or other Product on your scheduled delivery date. For further information on when to schedule your flowers, please contact us. For the most recent status on your delivery date and time of delivery, please visit the carrier's webpage with your tracking number or contact the carrier with the phone number provided in your tracking number email. III. Delivery Policy. Required Signature. If you request signature upon delivery of your Order, please know that UPS and Fedex do not reattempt deliveries the same day and requesting delivery reattempts may delay a delivery by several days. To avoid flowers exposure to extreme temperatures resulted from exceptions where the recipient is not available to sign for the package Ordered, we recommend that you be available to receive your flowers or request a hold for pick up at the Fedex or UPS station at your convenience. For boxes delivered via UPS, all signatures are removed as a default since UPS does not release signatures should an exception happens when boxes are attempted to be delivered. To ensure flowers are not pilfered while left outside or become damage from outdoor environmental factors, it is necessary that someone sign for the flowers upon delivery. Therefore, please ensure someone authorized by you is available to sign and receive the flowers on the date of delivery. All Orders must be signed for upon delivery. If you obtain a signature waiver that permits delivery without a signature, no refund or replacement for pilfered or damaged Product will be granted. Timeliness to Report Damage. Please check your boxes upon delivery. If there is box damage, inspect your Product and report all damage to the delivery driver and to the carrier so it can be documented. Immediately following, please contact us to report the damage. Claims will only be considered on the same day that flowers are delivered. For further information surrounding claims, please see the Claims Policy Section below. Missed Delivery. If you are not at the delivery address at the time of actual delivery, you will need to contact the carrier directly to arrange for pickup of your box(es). Refunds or replacement of damaged Product are not available in these instances should Product become wilted, dehydrated or otherwise damaged as a result of the missed delivery. Therefore, it is highly recommended that you have someone available to sign for flowers at the time of delivery. Pickup From FedEx/UPS. To prevent Product spoilage, all Products must be picked up on the same day Order has been returned to the local FedEx or UPS facility. These facilities generally lack refrigeration. Freshness of Product can no longer be warranted on fresh cut flowers should pickup be made the following day or later. Incorrect Address. Friendly Flowers is not responsible for delayed deliveries resulting from inaccurate information given such as incorrect delivery address, use of a PO Box address, phone number, email address, etc. Such information is necessary in the event we or the carrier need to contact you surrounding your delivery. As a result, returns or claims will be honored in such instances. Friendly Flowers highly stresses that you review all details of your Order following placement for delivery address accuracy. If your address is incomplete, incorrect, or needs to be re-routed while in transit, you will be assessed an additional fee. Two-Day Delivery Window. Claims on or cancellation of an Order will not be honored if your Order delivers or is made available for pickup by the carrier within two business days (before or after) of your scheduled delivery date. As a result, please ensure your chosen delivery date keeps this cushion in mind. Holidays, availability of Saturday pick-ups, and your travel plans should be considered as well in the event your Order delivers within this two-day buffer. No Refund of Delivery Fees. Should a full or partial refund be granted for any reason, any delivery costs will be subtracted from the refund amount. Refused Delivery. Friendly Flowers is not responsible for Orders where the recipient refuses to accept the Product Ordered. Orders are custom cut Products intended for your use. Each Order is custom arranged and cut-to-order. Claims for delivery refusals, therefore, cannot be honored. Product purchased cannot be rejected due to delivery date, even if the Product is being delivered outside of the delivery commitment time from us or from FedEx or UPS. Any rejected delivery of Orders will incur a $45 fee per box that will be charged as an additional fee. If you have an issue with an Order delivered outside of the commitment time due to weather or other carrier delays, please contact us to address the issue and we will make additional arrangements for your Order. Regardless, boxes cannot be rejected and be given back to the carrier or you will incur the above mention fee per box. Weather Delays. In the event that there is a weather or similar delay and the carriers cannot deliver your Order, Friendly Flowers will not issue a refund for Orders delivered outside of the time frame specified. Whether carriers deliver before or after event dates when there are weather or similar delays, Orders are not eligible for refunds. THERE ARE NO EXCEPTIONS TO THIS POLICY. During winter months when severe weather conditions may affect deliveries, boxes will be scheduled for delivery 2-3 days prior to delivery day scheduled to ensure Products arrive on time. In the event your flowers arrive early, early delivery does not affect quality or performance of the flowers ordered. Customer Responsibility. It is the responsibility of the recipient to ensure that boxes of flowers are put indoors and hydrated immediately after receipt. Flowers exposed to extreme temperatures could freeze or burn depending on the temperature to which they are exposed. It is imperative that flower recipients track their Orders with the tracking number provided and ensure that flowers are brought indoors immediately after they are delivered. Flowers travel dry and need to drink water before they start to open and be appreciated. Issues with carriers need to be initiated directly with the carrier by you. If the Product was mishandled or mistreated by you when unpacking or arranging flowers, in our reasonable but sole opinion, we cannot be held liable for resulting damage caused to the Product. Damage Attributable to Carrier. Friendly Flowers is not responsible for problems occurring during shipping from our location to your facility, including late deliveries caused by weather or Force Majeure events. In the event that there is a claim with a delivery issue, claims must be submitted with the carrier. While we will try to act in your behalf so these companies will help you process your claim, we do not accept responsible for any shipping related claims and whatever resolution the shipping companies provide is what you will receive from the carrier. No additional recourse is available from Friendly Flowers. IV. Additional Charges and/or Refunds. Additional Delivery Charges. While Saturday service may be scheduled, Friendly Flowers cannot guarantee delivery due to carrier factors beyond its control. In the event FedEx door-to-door Saturday delivery is possible for your area, a Saturday delivery fee of $25 per box is assessed in addition to any other fees. Please note that not all areas are eligible for Saturday delivery. Please check with your local FedEx office to confirm. Charges and Refunds for Substitutions. In the event that a flower variety becomes unavailable, Friendly Flowers will offer a substitution for your Order. The substitution offered will be for equal or greater value than the amount paid. Substitutions will be in a similar style, theme, and color to the unavailable flower. If you request a substitution that is significantly higher in value than the Product(s) contained in an Order, Friendly Flowers reserves the right to charge the difference in price. Refunds will not be available in the event a substitution is rejected. Refunds, Credits, Cancellations. ALL SALES ARE FINAL unless we fail to include one or more Products (or substitutions) in your Order. This exception shall not apply if we provided notice to you that a certain flower was unavailable and you refuse substitutions we offered. If you have an outstanding refund, credit or cancellation, an email confirming your refund will be sent once the refund, credit, or cancellation are issued by the accounting department. If we grant a refund, it must be made to the same credit card used when placing the Order. After refunds are done, please allow 2-3 business days so credits can post to your credit card. If your payment was done with a debit card, your bank may take longer to post the refund issued. Refunds made for transactions done over ninety (90) days can only be issued as store credit. If a customer credit card number changed, customer needs to obtain a letter from their financial institution stating that the card is the same even though the number changed. We cannot issue credit to different credit cards than the ones used to place Orders. If a partial or a full refund is due and your credit card is no longer valid or active, we will provide store credit for a future Order. V. Change and Cancellation Policy. We require at least ten (10) business days’ notice prior to the delivery date scheduled to make changes to an Order. Order changes will be made subject to flower and Product availability and returns will not be honored should the flower or Product you desire be unavailable. Please note that Order downgrades are considered cancellations and subject to a fifteen percent (15%) fee of the dollar difference. Order cancellations must be made within twenty-four (24) days of Order placement AND ten (10) business days prior to the scheduled delivery date. For Orders that fall within this time period, a refund less a fifteen percent (15)% processing fee will be made. For a partial cancelation, this fee shall apply to the canceled item(s) only. No refunds are available for cancellations made after twenty-four (24) days of Order placement, or less than ten (10) business days prior to scheduled delivery. All cancellations must be submitted in writing, via email accepted. An email acknowledging cancellation will be sent to confirm cancellation. Rush Orders cannot be canceled as such Orders are processed immediately. In addition to the above fees, all deposits are non-refundable. Address Changes. We will change delivery addresses for your Order at no additional cost to you if we are notified in writing about the change needed at least ten (10) days prior to the delivery of your flowers. For address changes requested less than ten (10) days to the delivery date, there is a charge of $35 per box and there is a possibility that flowers may be delayed if address change is made when flowers are already in transit. VI. Claims, Credit and Refund Policy. While Product issues are rare, should you experience a problem with your Order at the time of delivery, you are required to contact us on the same day of delivery of your flowers at 1- (302)-316-0027 or by emailing [email protected]. If your delivery occurs after-hours, contact can be made via email and/or voicemail. A return phone number must be provided to facilitate contact. In order for a refund to be granted, ALL claims must be reviewed and processed prior to your event. NO EXCEPTIONS. Friendly Flowers will replace Product or issue a refund only when policy is followed. Claims made after events are not considered. You must inspect Products upon arrival to your facility. Any quality problems, shortages, or incorrect Product must be reported immediately but in no case within less than twenty-four (24) hours of receipt of Product. A minimum of six photographs of the Product that can demonstrate the damage or the issue experienced is required to make a claim or request a refund. Photographs should include the delivery box, close-ups of the Product demonstrating the issue and the exact number of stems affected, and photos of the entire Order received. If photos submitted do not demonstrate the issue, the exact number of stems affected, and they show normal Product according to the standards of the flower industry, or specific Product performance, credit will not be issued. With proper photo evidence, credit will only be given for the exact number of stems affected. Please keep in mind that per flower industry, there are some Products that come packed in layers so if there is missing Product make sure that you count the number of stems at the bottom. Please do not dispose of your Product or original boxes. Product must be returned to be considered for credit. NO EXCEPTIONS. Keep all Product including the original box(es), wrapping, and shipping label when initiating a return. Breed-specific flowers that are unsatisfactory in color do not qualify as a Product defect. We make no claim on colors associated with particular flower breeds sold under their industry trademark, breed, or trade variety name. Flowers sold under specific names include, but not limited to, the Freedom Rose, Red Aranal Calla, Festiva Maxima peony, Chocolate Cosmos and many others. Growth of flowers or open blooms cannot be guaranteed within a stated period of time due to uncontrollable factors such as care and handling and ambient temperature following delivery, breed characteristics and Mother Nature. You are responsible for familiarity with wholesale fresh cut flowers, foliage and other floral goods, as well as their proper use. In some cases, flowers may require additional hydration and processing prior to be arranged. We are not responsible if you or your designated recipient mishandles the flowers, does not hydrate them upon arrival, and/ or does not follow proper care and handling. If you have any questions regarding proper use of our Products, please contact us. You expressly understand and acknowledge that reversing a credit card charge is considered theft by deception. Amounts reversed in an amount of ten thousand dollars ($10,000) or greater is grand larceny. Friendly Flowers will pursue any and all theft or larceny to the fullest extent available by law. By placing an Order, you agree that you will not reverse any credit card charge. Any dissatisfaction or request for a refund shall be communicated directly to us as provided for herein. If your situation qualifies for a full or partial refund, such refund will be granted in accordance with these terms, less any fees or shipping charges as provided above. VII. Intellectual Property. Content, information, images, text, graphics, photos, exclusive products, logos, symbols, and marketing and advertising ideas and concepts provided on our website are protected by federal Copyright laws. All designs, floral arrangements, and related materials made by Friendly Flowers are proprietary to Friendly Flowers and are considered confidential. Such material is not to be shared with any other flower shop. Any violations of this Section is a material breach of these Terms and will result in prosecution to the fullest extent permitted under Federal law. If your request involves any copywritten or trademarked material, or otherwise involves the intellectual property of a third party, you represent and warrant that you have obtained all necessary licenses for us to use such intellectual property. You agree to indemnify us for any and all claims related to misappropriation of a third party’s intellectual property. VIII. Terms of Payments. We accept PayPal, eCheck, Apple Pay, and all credit and debit cards for purchase of Products. You are responsible for reimbursing any fees assessed on us due to a lack of available funds or any other issues. If payment is not received in accordance with the payment terms set forth in an Order, Friendly Flowers reserves the right to withhold performance until payment is received. In such case, we are not responsible for any consequences which result from any delay or non-delivery and you will not be entitled to any refund. IX. Terms of Debt Collection. Inasmuch as purchases are made on checks, credit cards, debit cards, Paypal, and other forms of payment, it is possible that your payment fails to cover the amount due for your goods at the time of delivery to you. Additionally, inasmuch as purchases are made on extended credit, payment may not have been received. In these instances, the amount of the purchase constitutes your debt to Friendly Flowers. Therefore, we may undertake additional attempts to charge your credit or debit card, when so provided, using the information you provided, until the debt is fully paid off. Friendly Flowers may, though it does not have the obligation to, attempt to settle the debt amicably, including the use of e-mail, and phone notifications and reminders. Friendly Flowers reserves the right, at any moment of your indebtedness, to contract a debt collection agency in order to claim the amount due from you as the debtor. In the event the sales invoice shall be placed in the hands of a debt collector for the purpose of collection, with or without litigation, you agree to pay any and all costs associated with such placement, including, without limitation, costs incurred prior to, during, or subsequent to collection. Friendly Flowers shall have the right to charge interest on all outstanding balances at an annual rate of five percent (5%) or the highest rate allowed by law (whichever is less). In the event attorney’s fees and/or other litigation costs are necessary to collect on an account not paid when due or in response to charges not entitled to a refund which you have reversed, said fees, as well as any other associated costs, are your responsibility. We further reserve the right to transfer such receivables to third parties, in which case the third party becomes interested in, and responsible for, collecting the amount due from you. X. Limitation of Liability. THE SERVICES PROVIDED BY FRIENDLY FLOWERS ARE PROVIDED "AS IS." IT MAKES NO WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, OR ANY WARRANTY REGARDING THE RELIABILITY OR SUITABILITY FOR A PARTICULAR PURPOSE OF ITS SERVICES. UNDER NO CIRCUMSTANCES SHALL YOU HOLD US OR ANY OF OUR AGENTS, CONTRACTORS OR REPRESENTATIVES RESPONSIBLE FOR ANY FORM OF DAMAGES OR LOSSES (INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OR LOSSES) SUFFERED FROM, BUT NOT LIMITED TO DELAYS, LOSS OF INFORMATION, DELAYS IN THE INSTALLATION OR PROVISIONING PROCESS, OR INTERRUPTIONS IN THE SERVICES CAUSED BY YOU OR YOUR AGENTS, OUR OR A THIRD PARTY'S NEGLIGENCE, FAULT, OR MISCONDUCT. OUR SOLE LIABILITY AND YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY BREACH OF THESE TERMS BY FRIENDLY FLOWERS IS A REFUND OF ALL FEES PAID. NOTHING IN THIS PROVISION SHALL LIMIT YOUR LIABILTY FOR PAYMENT OR BREACH OF THESE TERMS. XI. Indemnification. You shall indemnify, defend, and hold harmless Friendly Flowers against any and all claims, losses, damages and liabilities sustained by you resulting from, rising out of, or connected with any breach of, or non-fulfillment of any representation, warranty, covenant or agreement made by or other obligation contained in these Terms. XII. Entire Agreement, Amendment. These Terms contain the entire agreement and understanding concerning any Order(s) or Product(s) and supersede all prior negotiations, proposed agreements, and all other agreements, whether electronic, written or oral. The Terms may be modified at any time by Friendly Flowers. A printed version of these Terms and of any notice given in electronic form shall be admissible in judicial or administrative hearings based upon or relating to the Terms to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. Additional terms or changes to these Terms are only effective if contained in an Order signed by Friendly Flowers. XIII. Choice of Law. These Terms shall be construed in accordance with the laws of the State of Delaware (excluding rules regarding conflicts of law). XIV. Severability. In the event that it is determined by a court of competent jurisdiction as a part of a final non-appealable judgment that any provision of these Terms or an Order (or part thereof) is invalid, illegal, or otherwise unenforceable, such provision will be enforced as nearly as possible in accordance with the stated intention of the parties, while the remainder of these Terms will remain in full force and effect.

I. COLLECTION OF INFORMATION
We collect the following categories of information when you use our Services (including when you download or launch our mobile applications) or when the application is running on your device in the background:
- Information you provide directly to us.
- Contact Information, including name, alias, maiden name, email address, telephone or mobile phone number, address;
- Sign-In Information, including username and password, account name, account number;
- Profile Information and Survey Responses, including your interests, preferences, physical characteristics or description, feedback, educational or professional information, employment, employment history, marital status, date of birth, age, significant dates such as birthdays, anniversaries and religious holidays you may observe;
- Commercial information, including records of products or services purchased, obtained, or considered, or other purchasing or consuming histories or tendencies;
- Information about other people, (for example, if you order a gift and want it sent directly to the recipient) including recipient's name, address, e-mail address, and telephone number;
- Geolocation data;
- Transaction and Billing Data, including bank account and payment card details, (credit card number, expiration date, and credit card security code, where needed to complete a transaction), billing address, delivery address, signature, transaction history; and
- Correspondence you send to us.
- Information we collect automatically. Without this information, we are not able to provide you with all the requested services, and any differences in services are related to your information.
